Key Definitions
The following key terms are used in this Host Agreement:

Fees charged by Ryder's Xchange for the use of the marketplace and related services, deducted from amounts otherwise payable to the Host. |

Any scooter, motorcycle or other approved vehicle listed by the Host on the platform. |
1. Parties and purpose
This Host Agreement applies to each person or entity that lists or makes available a scooter, motorcycle or other approved
vehicle on the Ryder's Xchange platform as a host (Host).
This agreement is between:
- Ryder's Xchange Pty Ltd ACN 671 989 736 as platform operator (Ryder's Xchange); and
- the Host.
Its purpose is to set out the terms on which the Host may list vehicles, accept bookings and receive platform services from
Ryder's Xchange.
2. Platform role and relationship structure
Ryder's Xchange operates an online marketplace connecting Hosts with Users. Unless expressly agreed otherwise:
- Ryder's Xchange does not own the Host's vehicles;
- Ryder's Xchange is not the lessor, bailee or operator of the vehicle;
- the Host is responsible for the vehicle listing and the supply of the vehicle to the User; and
- Ryder's Xchange provides technology, payment, booking administration and related support services.
Nothing in this agreement creates a partnership, joint venture, employment or agency relationship, except to the limited extent
necessary for Ryder's Xchange to facilitate bookings, collect payments or communicate with users on the Host's behalf.
3. Eligibility to list vehicles
The Host must, at all times:
- own the vehicle or have lawful authority to list and hire it out;
- have capacity and authority to enter into this agreement;
- provide accurate account, identity, banking and tax information;
- comply with all laws, regulations, permits, approvals and industry requirements applicable to the listing and hire of the vehicle; and
- promptly notify Ryder's Xchange of any matter that may affect the Host's eligibility to list a vehicle.
4. Host compliance obligations
The Host is solely responsible for ensuring that each listed vehicle:
- is registered as required by law;
- is roadworthy, safe and in good working order;
- is maintained in accordance with manufacturer recommendations and legal requirements;
- is not subject to any undisclosed defect, recall, finance restriction, seizure risk or legal prohibition affecting its lawful hire;
- has all licences, permits, inspections and approvals required for the Host's intended use of the vehicle; and
- is covered by any insurance the Host chooses or is required to maintain.
The Host must independently determine whether any state or territory-specific hire-and-drive, motor dealer, transport,
commercial use, rideshare, delivery-use or peer-to-peer vehicle sharing requirements apply.
5. Insurance and risk responsibility
The Host acknowledges that private motor insurance may not cover peer-to-peer rental, commercial hire or delivery use. The
Host is responsible for obtaining and maintaining insurance appropriate for the Host's operating model and risk appetite.
The Host must not represent that a vehicle is insured for a particular use unless that cover has been confirmed.
If the Host permits delivery or courier use, the Host must ensure the listing clearly states that permission and any conditions
or exclusions that apply.
6. Vehicle listing requirements
Each listing must be accurate, complete and not misleading. The Host must provide all information reasonably requested by
Ryder's Xchange, including:
- make, model, year and registration details;
- vehicle condition, features and accessories;
- permitted and prohibited uses;
- pickup and return requirements;
- pricing, fees and bond requirements;
- insurance information or disclaimers relevant to the booking;
- any age, licence or experience restrictions; and
- clear photos showing the vehicle's current condition.
The Host must promptly update a listing if any information becomes inaccurate.
7. Booking acceptance and fulfilment
When the Host accepts a booking, the Host must make the vehicle available in accordance with the listing and booking details
unless prevented by circumstances beyond the Host's reasonable control.
The Host must not cancel confirmed bookings without good reason. Repeated cancellations, non-responsiveness or failure to
provide the booked vehicle may result in reduced listing visibility, account restrictions, removal from the platform or other
action reasonably taken by Ryder's Xchange.
8. Vehicle handover and condition records
Before each booking, the Host must take reasonable steps to document the vehicle's condition, including by using photos,
checklists or inspection records.
At handover, the Host should ensure the User has a reasonable opportunity to inspect the vehicle and note any pre-existing
damage, fuel or battery level, keys, helmets, chargers and accessories.
The Host should inspect the vehicle promptly after return and report any issue within the timeframe specified by Ryder's
Xchange.
9. Bonds, deposits and charges
The Host may require a bond or security deposit only if that requirement is clearly disclosed through the platform or
otherwise approved by Ryder's Xchange.
If Ryder's Xchange does not hold the bond itself and the Host collects a bond directly, the Host:
- is solely responsible for collecting, holding, accounting for and refunding that bond lawfully;
- must clearly disclose the amount, method, conditions for deduction and expected refund timing; and
- must not make deductions except to the extent reasonably justified and permitted by law.
The Host authorises Ryder's Xchange to deduct platform fees, payment processing fees, chargebacks, refunds, adjustments and
other amounts payable under this agreement from amounts otherwise due to the Host.
10. Damage claims and incident management
If the Host alleges that a User caused damage, loss or other compensable issue, the Host must provide evidence reasonably
requested by Ryder's Xchange, which may include:
- pre-booking and post-booking photos;
- repair quotes or invoices;
- inspection reports;
- police or incident reports; and
- communications relevant to the claim.
Ryder's Xchange may review the material and facilitate communication, but unless expressly stated otherwise does not guarantee
recovery from the User or any insurer.
The Host must not make false, exaggerated or misleading claims.
11. Host earnings and payment timing
Subject to this agreement, Ryder's Xchange will remit booking proceeds to the Host after deducting applicable platform fees,
payment processing fees, refunds, chargebacks, offsets and other authorised deductions.
Payment timing may depend on booking completion, dispute status, fraud checks, payment processor timing and any reserve or
hold reasonably applied by Ryder's Xchange.
The Host is responsible for its own tax reporting, GST treatment and accounting obligations unless mandatory law provides
otherwise.
12. Taxes
The Host is responsible for determining and complying with all tax obligations arising from listing and hiring out vehicles,
including income tax, GST and any other applicable taxes, duties or levies.
Ryder's Xchange may provide transaction records, but does not provide tax advice.
13. User safety and legal compliance
The Host must not list a vehicle that is unsafe, defective or unlawful to use. If the Host becomes aware of a safety issue,
recall, registration lapse, insurance issue or legal restriction affecting a listed vehicle, the Host must immediately suspend
the listing and notify Ryder's Xchange.
The Host must cooperate with any safety investigation, complaint, regulator enquiry or lawful request relating to a listed
vehicle or booking.
14. Australian Consumer Law and fair dealing
The Host must not engage in misleading or deceptive conduct, make false representations, or include unlawful terms in any
booking-specific terms.
Nothing in this agreement excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, including rights
under the Australian Consumer Law.
If the Host supplies services to a consumer, the Host remains responsible for complying with any non-excludable consumer
guarantees that apply to that supply.
15. Intellectual property and listing content
The Host grants Ryder's Xchange a non-exclusive, royalty-free licence to host, reproduce, publish, adapt and communicate the
Host's listing content, photos, branding and descriptive material for the purpose of operating, promoting and improving the
platform.
The Host warrants that it has the right to provide that content and that the content does not infringe third-party rights.
16. Privacy and personal information
The Host must handle any personal information obtained through the platform lawfully and only for purposes connected with the
relevant booking, claim, dispute or legal obligation.
The Host must not use User personal information for direct marketing, unrelated contact or off-platform solicitation unless
permitted by law and expressly authorised.
17. Suspension, removal and termination
Ryder's Xchange may suspend, restrict or terminate the Host's account or remove a listing where Ryder's Xchange reasonably
considers this necessary for safety, legal compliance, fraud prevention, repeated cancellations, poor user experience,
non-payment, misleading listings or other material risk.
Termination does not affect accrued rights, payment obligations, indemnities or claims arising before termination.
18. Indemnity
The Host indemnifies Ryder's Xchange against loss, liability, damage, cost and expense reasonably incurred by Ryder's Xchange
arising out of:
- the Host's breach of this agreement;
- the Host's unlawful, fraudulent or negligent act or omission;
- any inaccuracy in a listing;
- any claim that the Host lacked authority to list the vehicle; or
- any defect, safety issue, registration issue or insurance issue relating to the Host's vehicle,
except to the extent the loss was caused by Ryder's Xchange's negligence, fraud, wilful misconduct or breach of law.
19. Limitation of liability
To the maximum extent permitted by law, Ryder's Xchange is not liable to the Host for indirect, consequential or special loss,
loss of profit, loss of opportunity or loss of goodwill arising out of or in connection with the platform, a booking, a User's
conduct or any claim relating to a listed vehicle.
This clause does not apply to the extent liability cannot lawfully be excluded or limited.
20. Disputes
The parties should attempt to resolve disputes in good faith. Ryder's Xchange may set operational procedures for handling
booking disputes, claims and complaints.
Nothing in this agreement prevents a party from seeking urgent interlocutory relief or pursuing rights through a court,
tribunal, insurer or regulator where appropriate.
21. Changes to this agreement
Ryder's Xchange may amend this Host Agreement from time to time. The updated version will apply from the effective date stated
on the platform, subject to any rights the Host has under law.
22. Governing law
This Host Agreement is governed by the laws of Western Australia. The parties submit to the non-exclusive jurisdiction of the
courts of Western Australia and courts hearing appeals from them.
