Key Definitions
The following key terms are used in this User Agreement:

Each person who creates an account, makes a booking, is approved as a driver, or otherwise uses the Ryder's Xchange platform as a renter or rider. |
| Platform |
Ryder's Xchange Pty Ltd ACN 671 989 736 acting as platform operator. |
| Host |
The owner or authorised person who lists a vehicle on the platform and supplies it under a booking. |
| Booking |
A confirmed reservation for a vehicle formed when the Host accepts and payment (or other required confirmation) is approved through the platform. |
| Approved driver |
The User who made the booking and any additional driver expressly approved through the platform for that booking. |
| Listing terms |
The specific terms, conditions, restrictions and information published by the Host for a particular vehicle. |
| Bond / security deposit / payment hold |
An amount held (by the Platform or Host) as security against unpaid charges, damage, fines, missing items or other amounts payable under the booking documents. |
| Fair wear and tear |
Reasonable deterioration of the vehicle arising from normal use during the booking period, excluding damage caused by negligence, misuse or breach. |
1. Parties and structure of this agreement
This User Agreement applies to each person who creates an account, makes a booking, is approved as a driver, or otherwise uses
the Ryder's Xchange platform as a renter or rider (User).
This agreement is between:
- Ryder's Xchange Pty Ltd ACN 671 989 736 as platform operator (Platform); and
- the relevant User.
A separate rental contract is formed between the Host and the User for each confirmed booking. Ryder's Xchange facilitates
listings, bookings, payment processing and related support services, but unless expressly stated otherwise does not own the
vehicles and is not the supplier of the vehicle itself.
2. Contents of the contractual framework
This User Agreement is to be read together with:
- the booking details shown on the platform;
- the applicable listing terms for the booked vehicle;
- the Privacy Policy;
- any applicable cancellation, bond, insurance, damage, safety, delivery-use or vehicle condition rules published by Ryder's Xchange from time to time; and
- any additional terms expressly accepted during the booking process.
To the extent of inconsistency, the booking details and any mandatory law prevail over this User Agreement.
3. Eligibility and account requirements
To use the platform as a User, you must:
- be at least 18 years old, or any higher minimum age specified for a particular vehicle or insurance requirement;
- hold all licences, permits and approvals required by law to operate the booked vehicle;
- provide accurate, current and complete information;
- complete any identity, licence, payment or eligibility verification reasonably required by Ryder's Xchange; and
- keep your account credentials secure.
You must not create an account or use the platform on behalf of another person without authority.
4. Platform role
Ryder's Xchange provides an online marketplace and related administrative services. Subject to any non-excludable rights under law:
- Ryder's Xchange does not guarantee the availability, quality, suitability or fitness of any vehicle listed by a Host;
- Ryder's Xchange is not responsible for the Host's compliance with registration, roadworthiness, insurance or licensing obligations; and
- Ryder's Xchange may, but is not obliged to, assist with disputes, claims, account reviews and safety issues.
Nothing in this agreement excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot lawfully
be excluded, restricted or modified.
5. Bookings and payment authorisations
A booking is confirmed when the platform records acceptance by the Host and payment approval or other confirmation required by
Ryder's Xchange.
You authorise Ryder's Xchange and its payment service providers to:
- charge your nominated payment method for rental charges, platform fees, bonds, excesses, tolls, fines, cleaning charges, damage-related amounts, late return charges and other amounts payable under this agreement or the booking terms; and
- process reversals, refunds, adjustments and security holds where applicable.
You must ensure your payment details remain valid and that sufficient funds are available.
6. Vehicle collection, inspection and acceptance
Before using the vehicle, you must:
- inspect the vehicle carefully;
- review any pre-trip condition report, photos or checklist;
- confirm the fuel or battery level, keys, accessories and visible condition; and
- promptly report any pre-existing damage, defect or discrepancy through the platform.
If you take possession of the vehicle without reporting an issue, the vehicle will be taken to have been accepted in the
condition reasonably apparent on collection, subject to any evidence to the contrary.
7. Approved drivers only
Only the User who made the booking and any additional driver approved through the platform may operate the vehicle.
You must ensure that each approved driver:
- holds a valid licence for the relevant vehicle class;
- complies with this agreement and all applicable laws; and
- is not affected by alcohol, drugs, fatigue or any condition making it unsafe or unlawful to drive.
You remain responsible for the acts and omissions of each approved driver connected with your booking.
8. Permitted use and prohibited conduct
You must use the vehicle lawfully, carefully and only for the purposes permitted by the listing and booking.
Unless the Host and Ryder's Xchange expressly permit otherwise, you must not use the vehicle:
- for any illegal purpose;
- in a reckless, dangerous or abusive manner;
- for racing, speed testing, stunt riding or motorsport;
- off-road or on unsuitable terrain;
- to carry dangerous goods or unlawful items;
- to tow or push another vehicle;
- for any commercial delivery or courier activity unless the listing expressly permits that use;
- by an unauthorised driver; or
- in any way that would void insurance or breach law.
9. Delivery and commercial use
If a listing expressly permits delivery or courier use, you must also:
- comply with all road rules, work health and safety requirements and delivery platform requirements;
- ensure the use remains within the scope approved by the Host and any applicable insurer;
- use appropriate protective equipment, including an approved helmet where required by law; and
- not assume that any insurance applies to delivery use unless that cover is expressly confirmed.
If delivery or courier use is not expressly permitted in the listing, it is prohibited.
10. Your responsibilities during the booking
During the booking period, you are responsible for the vehicle and must:
- keep it secure;
- take reasonable care to avoid loss or damage;
- comply with all registration, road use and parking requirements;
- not smoke in the vehicle if prohibited by the listing or law;
- not tamper with, disable or modify the vehicle; and
- immediately stop using the vehicle if it appears unsafe and notify the Host and Ryder's Xchange.
11. Return obligations, late returns and extensions
You must return the vehicle:
- to the agreed location;
- by the agreed date and time;
- with the agreed fuel or battery level, allowing for any express booking terms;
- with all keys, helmets, chargers and other accessories supplied; and
- in substantially the same condition as at collection, fair wear and tear excepted.
If you need more time, you must request an extension through the platform before the booking ends. An extension is not
effective unless approved and any additional charges are accepted.
If you return the vehicle late or fail to return it as required, Ryder's Xchange or the Host may charge additional rental,
administration, recovery and related costs reasonably incurred, and may take steps to recover the vehicle or notify authorities
where appropriate.
12. Bonds, deposits and payment holds
A booking may require a bond, security deposit or payment hold. You authorise Ryder's Xchange or, where disclosed in the
booking process, the Host, to hold, deduct, apply or recover amounts reasonably attributable to:
- unpaid rental or extension charges;
- late return amounts;
- tolls, fines and infringements;
- cleaning or refuelling or recharging costs;
- missing keys, helmets, chargers or accessories;
- damage, loss, theft or recovery costs;
- insurance excesses; and
- other amounts payable under the booking documents.
Where a Host collects a bond directly, Ryder's Xchange may assist with disputes but is not the bond holder unless expressly
stated.
13. Damage, accidents and incident reporting
You must immediately notify Ryder's Xchange and the Host of any accident, theft, loss, damage, breakdown, seizure, infringement
or other material incident involving the vehicle.
You must also:
- take reasonable steps to protect people and property;
- contact emergency services where required;
- obtain details of other parties, witnesses and attending officers where possible;
- provide truthful and complete information, photos and documents requested by Ryder's Xchange, the Host or any insurer; and
- not admit liability or settle any claim without authority, except to the extent required by law.
Failure to report an incident promptly may affect any available protection or insurance response and may result in additional
liability.
14. Damage liability and exclusions
Subject to any applicable law and any insurance or protection product that expressly applies, you are liable for loss, damage,
theft, fines, tolls, penalties, claims and costs arising during the booking period to the extent caused or contributed to by
your act or omission, the act or omission of an approved driver, or your breach of the booking documents.
You may also be liable for loss of use, recovery costs, towing, storage, administration and claims handling costs where
reasonably incurred.
You are not responsible for fair wear and tear, or for mechanical failure not caused or contributed to by you, unless otherwise
permitted by law.
15. Insurance and risk allocation
Insurance arrangements vary between vehicles and Hosts. Ryder's Xchange does not represent that any particular booking is
covered by comprehensive, third-party property, theft or delivery-use insurance unless expressly stated in the listing or
booking documents.
You must satisfy yourself before driving that the booking has insurance arrangements acceptable to you. If insurance applies,
cover will usually be subject to policy terms, exclusions, excesses, driver eligibility requirements and compliance with this
agreement.
Nothing in this agreement is intended to exclude liability for death or personal injury caused by negligence to the extent such
liability cannot lawfully be excluded.
16. Infringements, tolls and government charges
You are responsible for all tolls, parking fees, traffic infringements, impound charges, statutory penalties and similar
charges arising from your use or possession of the vehicle during the booking period, together with any reasonable
administration fee for processing them where permitted by law.
You authorise Ryder's Xchange and the Host to provide your details to relevant authorities and tolling operators where lawfully
required.
17. Suspension, cancellation and refusal of service
Ryder's Xchange may suspend, restrict or terminate your account, cancel a booking, or refuse access to the platform where it
reasonably considers this necessary for safety, fraud prevention, legal compliance, non-payment, repeated policy breaches,
misuse of the platform or other material risk.
Where practicable, Ryder's Xchange will notify you of the action taken. Ryder's Xchange may also preserve evidence and
cooperate with insurers, regulators and law enforcement bodies.
18. Reviews, communications and platform content
You must ensure that reviews, messages, photos and other content you upload or send through the platform are accurate, lawful
and not misleading, defamatory, abusive or infringing of third-party rights.
Ryder's Xchange may remove content that breaches this agreement or creates legal or safety risk.
19. Privacy
Ryder's Xchange handles personal information in accordance with its Privacy Policy.
You consent to Ryder's Xchange using and disclosing your information as reasonably necessary to administer bookings, verify
identity, process payments, investigate incidents, resolve disputes and comply with law.
20. Consumer law and non-excludable rights
Nothing in this agreement excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, including rights
under the Australian Consumer Law.
To the extent permitted by law, any liability of Ryder's Xchange for breach of a non-excludable guarantee relating to services
is limited to supplying the services again or paying the cost of having the services supplied again, where the law permits
that limitation.
21. Indemnity
You indemnify Ryder's Xchange against loss, liability, damage, cost and expense reasonably incurred by Ryder's Xchange arising
out of:
- your breach of this agreement;
- your unlawful, fraudulent or negligent act or omission; or
- your misuse of the platform or the vehicle,
except to the extent the loss was caused by Ryder's Xchange's negligence, fraud, wilful misconduct or breach of law.
22. Limitation of liability
To the maximum extent permitted by law, Ryder's Xchange is not liable for indirect, consequential or special loss, loss of
profit, loss of opportunity or loss of goodwill arising out of or in connection with the platform, a booking or a vehicle
listing.
This clause does not apply to the extent liability cannot lawfully be excluded or limited.
23. Disputes
Users should first attempt to resolve disputes directly with the Host where appropriate. Ryder's Xchange may, but is not
obliged to, assist with dispute resolution.
Nothing in this agreement prevents a party from seeking urgent interlocutory relief or pursuing rights through a court,
tribunal, insurer, chargeback process or external dispute body where available.
24. Changes to this agreement
Ryder's Xchange may amend this User Agreement from time to time. The updated version will apply from the effective date stated
on the platform, subject to any rights you have under law.
25. Governing law
This User Agreement is governed by the laws of Western Australia. The parties submit to the non-exclusive jurisdiction of the
courts of Western Australia and courts hearing appeals from them.
